ENTRY FORM, RELEASE, AND NON-DISCLOSURE AGREEMENT

This ENTRY FORM, RELEASE and NON-DISCLOSURE AGREEMENT is made on the date of entry between user (“Entrant”) and RAPP Worldwide Inc. having a place of business at 220 E 42nd Street, New York, New York, 10019 ("RAPP"). As a condition of RAPP accepting your Entry (defined below), Entrant hereby agrees that the following terms and conditions shall govern the acceptance, evaluation and potential use of Entrant's Entry in connection with a contest to receive no cost marketing services (the “Purpose”).

  1. In connection with the Purpose either party may make available or provide access to certain information which is proprietary or confidential ("Proprietary Information"), to the other party or its licensors, affiliates, parent companies and/or clients, including, but not limited to, trade secrets, processes, techniques, inventions, improvements, software programs, email listings, computer programs, copyrightable material, data and know-how, marketing plans and strategies. All Proprietary Information provided by either party in connection with the Purpose will be treated confidentially.
  2. Entrant agrees (a) it will abide by all contest rules posted in connection with the Purpose, posted at www.seriesr.rapp.com. (b) RAPP's judgment with respect to all Entries is final (c) Entrant hereby grants a non-exclusive limited license to RAPP to all materials, logos, marks and information submitted by Entrant in connection with the Purpose (each an “Entry” and together the “Entries”), (d) Entrant shall not use, publish or disclose to any third party any Rapp Proprietary Information or anything related to it without the express prior written approval of RAPP, (e) RAPP makes no guarantee about the outcome of the contest or that any prize in connection with the Purpose, will produce any particular result, and (f) Entrant shall take all reasonable precautions to hold any RAPP Proprietary Information in confidence and trust, using at least the same degree of care it would use for its own most valuable and confidential information, provided, however, that Proprietary Information shall not be considered to be confidential if it is already, or otherwise becomes, publicly known through no act of Entrant, or Entrant can establish it was independently developed by Entrant. Entrant shall not issue any press releases, marketing materials (including website and social media references) disclosing the Purpose or their relationship with RAPP unless written approval is received from RAPP.
  3. Entrant represents and warrants it owns all parts of the Entry and that no use of the Entry shall require any approval by any third party. Entrant further acknowledges that RAPP shall have no liability for any public disclosure of the Entry whatsoever or for direct, indirect, or consequential damages which arise out of use or non-use of the Entry.
  4. The obligations of Entrant and RAPP hereunder shall terminate 3 years after RAPPs' receipt of the Entry. This Agreement is for the benefit of RAPP and Entrant only, and any attempt by Entrant to transfer any prize received in connection with the Purpose shall be subject to RAPP's prior written approval.
  5. Entrant acknowledges and agrees money damages would not be a sufficient remedy for any breach of this Agreement by Entrant or any of its Representatives and that RAPP will be entitled to equitable relief, including injunction and specific performance, as a remedy for any such breach. Such remedies are not the exclusive remedies for a breach of this Agreement, but will be in addition to all other remedies available at law or equity.
  6. Entrant hereby releases RAPP from all claims in connection with the Purpose and acknowledges and agrees RAPP is not guaranteeing any outcome in connection with RAPP's services.
  7. This Agreement is governed by, and will be construed in accordance with, the internal laws of the State of New York, without giving effect to the principles of conflict of laws thereof.

NO PURCHASE IS NECESSARY TO ENTER OR WIN.

Series R (“Series R”) Contest (the “Contest”) starts on March 30, 2023 at 12:01 a.m. Eastern Daylight Time (“EDT”) and ends on April 30, 2023 at 11:59 p.m. EDT (“Contest Period”).

Throughout the Contest Period, eligible entrants are invited to submit an application on behalf of their company (the “Entrant”) that describes or explains an Entrant's commitment to the FemTech industry (collectively, the “Submission”), as described below. Entrants must have the permission of the company to enter this Contest prior to entering. Eligible Submissions will be judged by representatives of Sponsor or its designee. At the conclusion of the Contest Period, one (1) winner will be selected, as described herein.

ELIGIBILITY: Entrants must be the authorized representative of the entering company registered in one of the 50 United States or the District of Columbia in the United States, US Territories, and US Military Bases, at the time of entry (each, an “Eligible Entrant”). Other conditions of entry for each Entrant:

  • Woman-Founded: A member of the founding team (>10% equity) must be woman-identifying, whether cis-or-transgender, or non-binary. Consideration will also be given to underrepresented racial or ethnic groups, people with disabilities, and other historically underrepresented individuals.
  • Mission-Driven: Addresses a significant public health disparity for the women+ audience.
  • US-Based and Operated: The startup must be US owned and operated.
  • In-Market Solution: Must have an advanced product offering with an in-market solution, revenue, and customer base.

Except as otherwise noted above, employees of RAPP Worldwide Inc. (“Sponsor”), (“RAPP”), and each of their respective parents, subsidiaries, affiliates, promotion and advertising agencies (collectively the “Contest Entities”), and members of their immediate family (spouse and parent, siblings and their respective spouses, regardless of where they reside) and persons living in the same household, whether or not related, of such employees, are not eligible to enter or win. Void where prohibited by law. Contest is subject to all applicable federal, state and local laws.

HOW TO ENTER: During the Contest Period, answer the questions set forth on the application form, together with any additional materials requested, reflecting Entrant's commitment to improvements in fertility support, pregnancy, postpartum and parenthood support, primary and preventive care, sexual and reproductive care, chronic disease care, perimenopause and menopause care, menstruation care and behavioral health (collectively, with entry form, “Submission”).

To enter the Contest, visit seriesr.rapp.com (“Website”) and follow the directions provided to complete the entry form, upload your Submission and submit your entry.

All entries must be received by April 30, 2023 at 11:59 p.m. EDT to be considered. Entries generated by script, macro or other automated means are void. Limit one (1) entry per company, per email address. Entries received from any person or email address or business in excess of the limitation will be void. All entries become the sole property of the Sponsor and will not be returned. Except as contemplated in these Official Rules, personal information collected in connection with this Contest will be used in accordance with Sponsor's privacy policy available at rapp.com/privacy-policy.

REQUIREMENTS OF SUBMISSIONS: Submission must (i) be entrant's own original work, (ii) be in English, (iii) cannot be previously published or submitted in connection with any other RAPP contest, (iv) be in keeping with the Sponsor's image and (v) not be offensive or inappropriate, as determined by the Sponsor in its sole discretion, nor can it defame or invade publicity rights or privacy of any person, living or deceased, or otherwise infringe upon any person's personal or property rights or any other third party rights. Sponsor reserves the right to disqualify any Submission it determines, in its sole discretion, is offensive or inappropriate, not in keeping with Sponsor's image or that is otherwise not in compliance with these Official Rules. Submissions must contain only content that, in the sole and unfettered discretion of Sponsor: (a) is suitable for all persons over the age of 13; (b) excludes sexually explicit, disparaging, libelous or other inappropriate content or any nudity of any kind; and (c) does not contain any copyrighted works (other than as may be owned by the entrant or adequately disclosed in the body of the Submission or in footnotes). By entering a Submission, entrant acknowledges and agrees that Sponsor may obtain many Submissions in connection with this Contest and/or other contests staged and/or promoted by the Sponsor, and that such Submissions may be similar or identical in theme, idea, format or other respects to other Submissions submitted in connection with this Contest and/or other contests sponsored by the Sponsor or submitted for other reasons or other materials developed by the Sponsor. Entrant waives any and all claims entrant may have had, may have, and/or may have in the future, that any Submission and/or other works accepted, reviewed and/or used by the entrant may be similar to his/her Submission, or that any compensation is due to entrant in connection with such Submission or other works used by Sponsor.

REPRESENTATIONS AND WARRANTIES/INDEMNIFICATION: Each person who enters this Contest represents and warrants as follows: (i) the Submission is the Entrant's own original, previously unpublished, and previously unproduced work; (ii) if applicable, the Entrant has all necessary permissions of the company featured in the Submission to nominate the company for the Contest; (iii) the Submission does not and will not violate or infringe upon the intellectual property rights or other rights of any other person or entity; and (iv) the Submission does not and will not violate any applicable laws, and is not and will not be defamatory or libelous. Each Entrant hereby agrees to indemnify and hold the Contest Entities harmless from and against any and all third party claims, actions or proceedings of any kind and from any and all damages, liabilities, costs and expenses relating to or arising out of any breach or alleged breach of any of the warranties, representations or agreements of entrant hereunder.

JUDGING: All eligible Submissions received by Sponsor will be judged by a panel of qualified judges based on the following equally weighted criteria: adherence to the Official Rules; clarity; originality; precision; eloquence; force of compassion, relevance; and pertinence to the Sponsor's goal. The Submission with the highest score will be deemed a winner and in the event of a tie, the earliest submitted entry, as determined by Sponsor, will be determined the winner among the tied entries. Sponsor reserves the right to award no prizes if, in its sole discretion, it does not receive a sufficient number of eligible and qualified entries. Prize award is subject to verification of eligibility and compliance with these Official Rules.

WINNER NOTIFICATION: Judges' and Sponsor's decisions are final and binding on all matters relating to this Contest. Potential winner(s) will be notified by telephone, mail and/or email and must complete an Affidavit of Eligibility, a Liability Release and, unless prohibited by law, a Publicity Release and any other documents required by Contest Entities (collectively, the “Claim Documents”), which must be returned within three (3) days of date of prize notification. Return of Prize notification as undeliverable, failure to sign and return requested documentation within the specified time period, the inability of Sponsor to contact a potential winner within a reasonable time period or noncompliance with these Official Rules by any potential winner will result in disqualification and, at Sponsor's sole discretion, the Prize may be awarded to a runner-up.

PRIZE (1): One (1) Prize is available. Subject to the Sponsor's right to revoke the Prize, the Prize consists of RAPP's pro bono services to include consumer definition and affinity analysis, a 3-day ideation workshop to imagine a new experience and define how exactly to drive business growth, a core experience prototype build, and mentorship and networking.

OVERALL PRIZE CONDITIONS: Limit one (1) Prize throughout the Contest. Prize must be used by entrant during a mutually agreeable period, within one year. If Sponsor is unable to verify to its satisfaction that potential Entrant has successfully complied with all entry criteria the Prize will be forfeited in its entirety.

Total approximate retail value of prize: $300,000. Winners may not substitute, assign or transfer prize or redeem prize for cash, but Sponsor reserves the right, at its sole discretion, to substitute prize (or portion thereof) with one of comparable or greater value. Winner is responsible for all applicable federal, state and local taxes, if any, as well as any other costs and expenses associated with prize acceptance and use not specified herein as being provided. All Prize details are at Sponsor's sole discretion.

GENERAL CONDITIONS: By participating, each entrant agrees: (a) to abide by these Official Rules and decisions of Sponsor and judges, which shall be final and binding in all respects relating to this Contest; (b) to release, discharge and hold harmless Sponsor, Evalato, and their respective parents, affiliates, subsidiaries, and advertising and promotion agencies, and the respective officers, directors, shareholders, employees, agents and representatives of the forgoing (collectively, “Released Parties”) from any and all injuries, liability, losses and damages of any kind to persons, including death, or property resulting, in whole or in part, directly or indirectly, from entrant's participation in the Contest or any Contest-related activity or the acceptance, possession, use or misuse of any awarded prize, including any travel/activity related thereto, and (c) to the use of his/her name, voice, performance, photograph/video, image and/or likeness for programming, advertising, publicity and promotional purposes in any and all media, now or hereafter known, worldwide and on the Internet, and in perpetuity by Sponsor and its designees, without compensation (unless prohibited by law) or additional consents from entrant or any third party and without prior notice, approval or inspection, and to execute specific consent to such use if asked to do so. By participating, entrant also agrees not to release any publicity or other materials on their own or through someone else regarding their participation in the Contest without the prior consent of the Sponsor, which it may withhold in its sole discretion.

LICENSE/USE OF SUBMISSIONS: By participating in the Contest, and to the extent allowed by law, you grant the Released Parties a perpetual, worldwide, royalty-free, non-exclusive, sub licensable, unconditional and transferable license to edit, modify, cut, rearrange, add to, delete from, reproduce, encode, store, modify, copy, transmit, publish, post, broadcast, display, adapt, exhibit and/or otherwise use or reuse your Submission, name, likeness, voice, image, and biographical material including, but not limited to, all materials submitted in connection with the Contest in any and all media, throughout the world, and in any manner, for trade, advertising, promotional, commercial, or any other purposes without further review, notice, approval, consideration, or compensation to entrant or any third party.

MISCELLANEOUS: Released Parties are not responsible for lost, late, incomplete, damaged, inaccurate, stolen, delayed, misdirected, undelivered, or garbled Submissions; or for lost, interrupted or unavailable network, server, Internet Service Provider (ISP), website, or other connections, availability or accessibility or miscommunications or failed computer, satellite, telephone or cable transmissions, lines, or technical failure or jumbled, scrambled, delayed, or misdirected transmissions or computer hardware or software malfunctions, failures or difficulties, or other errors or difficulties of any kind whether human, mechanical, electronic, computer, network, typographical, printing or otherwise relating to or in connection with the Contest, including, without limitation, errors or difficulties which may occur in connection with the administration of the Contest, the processing or judging of Entries, the announcement of the prizes, the incorrect uploading of the essay or in any Contest-related materials. Released Parties are also not responsible for any incorrect or inaccurate information, whether caused by site users, tampering, hacking, or by any equipment or programming associated with or utilized in the Contest. Released Parties are not responsible for injury or damage to any person's computer related to or resulting from participating in this Contest or downloading materials from or use of the website. Persons who tamper with or abuse any aspect of the Contest or website, who act in an unsportsmanlike or disruptive manner or who are in violation of these Official Rules, as solely determined by Sponsor, will be disqualified and all associated Entries will be void. Should any portion of the Contest be, in Sponsor's sole opinion, compromised by virus, worms, bugs, non-authorized human intervention or other causes which, in the sole opinion of the Sponsor, corrupt or impair the administration, security, fairness or proper play, or submission of Entries, Sponsor reserves the right at its sole discretion to suspend, modify or terminate the Contest and, if terminated, at its discretion, select the potential winners from all eligible, non-suspect Entries received prior to action taken using the judging procedure outlined above.CAUTION: ANY ATTEMPT TO DELIBERATELY DAMAGE THE WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE CONTEST MAY BE IN VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES AND OTHER REMEDIES (INCLUDING ATTORNEYS' FEES) FROM ANY SUCH INDIVIDUAL TO THE FULLEST EXTENT OF THE LAW, INCLUDING CRIMINAL PROSECUTION.

ARBITRATION: Except where prohibited by law, as a condition of participating in this Contest, participant agrees that (1) any and all disputes and causes of action arising out of or connected with this Contest, or any prizes awarded, shall be resolved individually, without resort to any form of class action, and exclusively by final and binding arbitration under the rules of the American Arbitration Association and held at the AAA regional office nearest the participant; (2) the Federal Arbitration Act shall govern the interpretation, enforcement and all proceedings at such arbitration; and (3) judgment upon such arbitration award may be entered in any court having jurisdiction. Under no circumstances will participant be permitted to obtain awards for, and participant hereby waives all rights to claim, punitive, incidental or consequential damages, or any other damages, including attorneys' fees, other than participant's actual out-of-pocket expenses (i.e., costs associated with participating in this Contest), and participant further waives all rights to have damages multiplied or increased.

CHOICE OF LAW: All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of participant and Sponsor in connection with the Contest, shall be governed by, and construed in accordance with, the substantive laws of the State of New York, USA.
